Conditions of Use for the Purchase of Products 

PRELIMINARY REMARKS

DISCLAIMER: This English text is a translation of the original French document for information purpose only and is not legally binding. Furthermore, in case of discrepancy, the original French document will always prevail.

This contract constitutes a legal agreement between the user of the Site and CP Vêtements Inc. (hereinafter referred to as "CP Clothing") in respect of the website www.cpvetements.com and the purchase of products (hereinafter referred to as "the Site").

  • ACCEPTANCE OF THE CONDITIONS OF USE 

By accessing or using the Site, you declare that you have read, understood and agree to be bound by these Terms of use (this "Agreement"). You expressly agree to abide by this Agreement and any changes to it (as set out below).

CP Clothing reserves the right, at its sole discretion and without prior notice, to update, modify, add or remove any provisions of this Agreement. In this case, CP Clothing will publish on this page the amendments made to this contract, with the dates of revision at the top of the page. 

IF YOU DO NOT WISH TO BE BOUND BY THIS AGREEMENT, DO NOT BROWSE THE SITE.

  • ELIGIBILITY 

By browsing and using the Site, you expressly declare and warrant that you have the right and the ability to enter into this Agreement. Otherwise, you are not allowed to browse or use the Site.

 

  • ACCOUNT AND PASSWORD

The creation of an account on the Site will allow you to speed up the payment process for your next orders, to register several addresses, to consult or track your orders, and more.

 

If you decide to create an account on the Site, all information used must be true, complete and updated immediately if there are any changes. You are prohibited from transferring your account to any third party or other user of the Site.

 

You are responsible for maintaining the confidentiality of your password. CP Clothing will not be liable for any unauthorized use of your account. If the confidentiality of this information is compromised, please notify CP Clothing as soon as possible to avoid possible fraudulent use of your account.  

  • PURCHASE ON THE SITE  

 

  • PRODUCTS OFFERED 

CP Clothing is a clothing and hair accessories shop, offering, among other things, work uniforms for health professionals. 

 

CP Clothing also offers the possibility to customize some of the products offered with embroidery, logo printing or inscription. 

 

Both the range of products and their quantities may vary at any time and are subject to change without notice. You must therefore choose between one or the other of the products then available on the site, when registering the order. 

 

Each product may contain a description to inform you, for example, of certain specifications or guidelines, or whether the personalization service is available. The description will also refer you to the applicable color and quantity chart. The quantities indicated in this document are approximate and are for informational purposes only. As for colors, you acknowledge that they may vary depending on the device or computer used and that they remain as a guide only. CP Clothing does not guarantee the veracity of any product description contained on the Site nor the accuracy of the chart of quantities and colors.

 

CP Clothing offers a variety of search filters to make your shopping experience easier. Whether you use these search filters or not, you must ensure that the product you purchased meets your needs and tastes, and that you have consulted the quantities and colors charts. 

 

  • CUSTOM PRODUCTS

If you wish to order a personalized product with one registration only, you must indicate the desired registration, as well as choose a font, color and location made available on the site. If all is correct, you can order your custom product.

 

If you wish to order a custom product with a logo, as well as for any special requests or group orders, please contact info@cpvetements.com. CP Clothing will then tell you what the next step and what information are to provide.

 

For any customized product, add approximately 3 to 5 additional days to the standard shipping times of CP Clothing and provided for in Article 7 below. These deadlines are indicative and may vary if your approval is required prior to production.

 

  • PRODUCT AVAILABILITY

CP Clothing strives to keep inventory of products sold through the Site as up to date as possible but cannot guarantee the availability of its products at any time. CP Clothing will not be liable for any damage that may be caused to you because of a stock shortage and/or the inability to deliver the product you ordered.

 

If we are unable to deliver any of the products you have ordered on the site, you will be notified by email and be refunded as soon as possible once the email is sent.

  • PAYMENT TERMS

 

  • PRICE

The prices of the products offered by CP Clothing are shown in Canadian dollars, excluding taxes. CP Clothing reserves the right to change its prices at any time. Products are always invoiced based on the prices in force at the time of order registration.

Any rebate, discount or promotion offered by CP Clothing is applicable only in accordance with each and all terms and conditions prescribed by CP Clothing, including, its duration, the availability of the products in promotion or the need to have and enter a promotional code. 

Without limiting the generality of the above, the cumulation of promotional code is prohibited. Therefore, you will need to select one of the promotional codes that have been made available to you, notwithstanding the lack of any specific details on the promotion. CP Clothing may not incur any liability due to this situation.

  • PAYMENT 

All payments are made via the secure payment gateway used or offered by Shopify. 

CP Clothing is not responsible for payment problems related to the operation of the e-commerce service. CP Clothing reserves the right to change the online transaction process or to use other suppliers to do so.

  • PURCHASE CONFIRMATION

A confirmation email will be sent to you within twenty-four (24) hours of ordering on the site.

  • E-MAIL FROM CP CLOTHING AND CANCELLATION

The user must pay close attention to the emails sent to him by CP Clothing, as these may include price corrections, credits and even suggestions. The user must ensure that the e-mail from CP Clothing does not enter his Junk E-mail box.

CP Clothing reserves the right, in its sole discretion, to cancel an order at any time and without notice, upon refund of any amount received in return.

  • SHIPPING AND DELIVERY 

 

  • DELAY 

All order processing and delivery times indicated, if any, on the site, are displayed as a guide only. In addition, the deadlines for customized products may vary as mentioned in Article 4 b) above. CP Clothing does not provide any warranty or assume any responsibility for the delivery time of the products.

 

You can track your order on the carrier services websites, with the tracking number that will be sent to you by e-mail. 

 

  • DELIVERY COSTS AND TERMS

CP Clothing reserves the possibility to offer the shipping service of your order free of charge according to certain applicable terms and conditions. For example, a minimum order amount, a defined territory, etc. 

 

If you do not fulfill the prescribed conditions to benefit from free delivery, a fixed delivery fee will be at your expense and will be added to the purchase price. In order to check the applicable fees, you need to consult your shopping cart. 

 

Delivery can only be made to locations that have a physical address with street name or rural route number and postal code. No orders will be delivered to a PO box. 

 

  • REFUSED, NOT CLAIMED OR DELIVERED TO A WRONG ADDRESS 

If you refuse to take delivery of your order at the time of delivery, it is returned to CP Clothing. The same applies to unclaimed orders after one or more delivery attempts and after a certain number of days waiting at the postal counter. Delivery terms vary depending on the selected supplier. Orders that are delivered to a wrong address due to your error or that have an incomplete address are also returned to CP Clothing. 

 

In all cases, except for a refusal of a parcel because it was damaged in transit or an error of address that was not caused by you, CP Clothing is not responsible for shipping, delivery and other costs related to the return of a shipment to its address and you will have to assume them entirely. 

  • TRANSFER OF OWNERSHIP AND LIABILITY

You become the owner of the purchased products when you take possession of them at the time of delivery. As the owner of the products, you then assume full responsibility, including without limitation, that responsibility relating to any damage.

 

  • RETURN POLICY 

 

  • TERMS

From the date of receipt (as evidenced by the postal or carrier tracking information) of your order and for any product purchased at regular prices, you have thirty (30) days to:

 

  • Get a refund if the product is not suitable for you.

 

  • Obtain an exchange in any of the following cases: product damaged on receipt, error in order from CP clothing and wrong size or color. 

In both cases, the delivery costs of the original order are non-refundable.

Product(s) purchased on sale or customized cannot be returned and are final sales. You acknowledge that, in this case, the product(s) purchased on sale or that have been customized are sold without any warranty and at your own risk.

 

  • RETURN PROCEDURE

 

To ensure that we process your return quickly and efficiently, please follow the procedure below when returning products to CP Clothing:

 

1) Write an email to notify us of your intention to benefit from our return policy. 

 

In order to obtain a refund, you must in this email:

 

  • specify the reason to benefit from the return policy;

 

  • attach a copy of your purchase invoice and on which must clearly appear the date and number of your order;

 

  • confirm that the product is and will be returned in its original condition including packaging (label and possible accessories), that it has not been worn and that it is not damaged or damaged. 

 

To get an exchange, you must in this email: 

 

  • specify the reason to benefit from the return policy (damaged product, error in order from CP clothing and wrong size or color) and attach supporting photos;

 

  • attach a copy of your purchase invoice and on which must clearly appear the date and number of your order;

 

  • confirm that the product is and will be returned in its original condition including packaging (label and possible accessories), that it has not been worn and that it has no damage or defect other than that mentioned to justify the request for exchange; 

 

  • In the case of a wrong size or color, specify the desired size or color according to the CP clothing size and color chart available on the site. 

 

2) CP Clothing will decide, in its sole and exclusive discretion, whether your return request is valid, whether it complies with this procedure and whether you are entitled to a refund or a product exchange.

 

3) upon confirmation by e-mail that your return is eligible and applicable conditions, if applicable, return your product, within the time specified above, by means of a carrier service allowing a follow-up of the shipment, to the following address:

Returned products must be returned in their original condition including packaging (label and possible accessories) without any traces of wear or use and in a perfect resale condition. All products will be inspected at reception.

 

You must pay the return fee, including the delivery fee, unless your original order was eligible for free delivery, or the exchange is the result of an incorrect order of CP clothing. In all cases, the fees for the delivery of the original order are not refundable.

 

5) You are responsible for any breakage, damage or loss to the Products incurred during transportation or shipment to CP Clothing in accordance with this return policy. No returns will be permitted if your products arrive damaged to CP Clothing other than for damage or defect for which an exchange has been requested.

 

4) Keep the tracking number. With this number, we will be able to ensure that your return is received correctly. We send you an email as soon as we receive your returned products. If you have not received a confirmation of receipt within ten (10) days of your return, we invite you to contact Customer Service at the following email address:  info@cpvetements.com.

 

5) any refund will be made within five (5) to ten (10) business days of receipt of your returned product.

 

The replacement product will be delivered to you as soon as possible. If you are responsible for the delivery costs, they must be paid before the replacement product is sent. In case we are unable to provide the replacement product, we will contact you shortly by email.

 

  • INTELLECTUAL PROPERTY

All the contents (texts, illustrations, styles, photos, images and others) reproduced in the Site are the exclusive property of CP Clothing or, otherwise, the latter has the necessary rights of use. All content is also protected by copyright as well as intellectual property rights worldwide. Any total or partial reproduction of the Site is strictly prohibited. You may not modify, copy, distribute, transmit, distribute, represent, reproduce, publish, license, transfer or sell any information, software, product or service obtained from the Site, or create derivative works of the foregoing. 

CP Clothing respects copyright laws and expects its users to do the same. It is CP Clothing's policy to refuse, if the circumstances so require, to process any order from a user that violates or is suspected of infringing copyright. In addition, CP Clothing reserves the right to sue any user for damages in the event of such an offense.

  • NETWORK SECURITY AND EFFICIENCY 

CP Clothing does not guarantee total network efficiency or security. A hacker may be able to penetrate the server. It is therefore important to bear in mind that, BEFORE USING THE SITE, TO NAVIGATE AND/OR CONDUCT TRANSACTIONS, it is always possible for a malicious individual to access the Site's servers and to use, for his or her own purposes, certain personal information transmitted by users. NEVER shall CP Clothing, nor any of its administrators, directors, employees, agents, representatives or proxies, be liable for any acts of hacking or be blamed for any damage or loss that could result to a user. The Site may experience occasional outages and some programming errors may be caused by updates or events beyond the control of administrators. Administrators, directors, employees, agents, representatives or proxies, nor can any CP Clothing user be held responsible if a user is unable to navigate the Site for any reason that prevents them from doing so (misunderstandings, faulty telephone line, incompatible modem, broken cable, misconfiguration, wrong browser, etc.). 

  • EXTERNAL LINKS 

The Site may contain links to other Internet sites ("External links") as well as to content belonging to third parties or originating from External links. CP Clothing has no means to control these External links and this content and does not respond to the availability of such External links, nor does it warrant it. CP Clothing does not endorse nor approve the content to which these External links give access and excludes any liability or warranty with respect to such content. Access to these External links from the Site is at the user’s own risk and is under your sole responsibility. 

  • SUSPENSION OF YOUR ACCOUNT

CP Clothing reserves the right to permanently suspend any account that does not comply with these Terms of use, without notice or delay. If you believe your account has been suspended for no reason, you can contact the CP Clothing team.

 

Accounts created to replace a suspended account will also be permanently suspended.

  • LIMITATION OF LIABILITY 

AT NO TIME, CP CLOTHING, IT'S ADMINISTRATORS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PROXIES AND ITS RELATED COMPANIES SHALL BE LIABLE FOR ANY CLAIM, INJURY, LOSS OF ACCIDENT, INJURY OR DAMAGE, DIRECT OR INDIRECT, ARISING OUT OF THE USE OF THE SITE, THE PRODUCTS ACQUIRED ON THE Site AND THEIR USE, THE BREAKAGE, DEFECT OR LOSS OF THE PRODUCTS PURCHASED, THE INFORMATION CONTAINED ON THE Site OR THE INTERPRETATION OR APPLICATION OF THIS AGREEMENT. 

TO THE EXTENT PERMITTED BY LAW AND IN ALL CASES WHERE CP CLOTHING'S LIABILITY MAY BE INCURRED, THE TOTAL AMOUNT OF CP CLOTHING'S LIABILITY, ITS ADMINISTRATORS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PROXIES, ITS AFFILIATES OR SUPPLIERS IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT(S).

  • FORCE MAJEURE

CP Clothing shall not be liable for the failure, in whole or in part, of any of its obligations to the user, nor for any damages or losses that the user may suffer if the failure to perform, damage or loss results from a case of force majeure or circumstance beyond his control. Force majeure is any because which is not dependent on the will of the parties hereto, which they could not reasonably have anticipated and against which they were unable to protect themselves. Force majeure includes, but is not limited to, any accidental event, strike, partial or complete work stoppage, lockout, fire, riot, pandemic, closure of the company by the government authorities, intervention by civil or military authorities, acquiescence to the regulations or orders of any government authorities and the act of war (declared or not).

  • COMPENSATION

You expressly agree to compensate and hold CP Clothing harmless and to keep it away from any liability for any damages, losses, claims, demands, suits, fees or liabilities of any kind, including legitimate and reasonable fees and disbursements, both judicial and extrajudicial, whether or not a cause is valid, that CP Clothing may, directly or indirectly, incur or suffer as a result of your failure or negligence to comply with this Agreement.

  • EMAIL OR OTHER COMMUNICATIONS 

By authorizing CP Clothing to communicate with you by e-mail, you agree that CP Clothing will communicate to you, in particular, all relevant information regarding the use of the site, news, promotions and other information. At any time, you can unsubscribe from the CP Clothing mailing list by sending an e-mail to the following address: info@cpvetements.com 

  • GOVERNING LAW 

This Agreement shall be governed by the laws applicable in the Province of Quebec, Canada. You hereby acknowledge that any dispute arising out of or relating to the use of the Site or this Agreement will be subject to the jurisdiction of the courts of the District of Quebec, Province of Quebec, Canada. 

  • NON-WAIVER

The failure of CP Clothing at any time to require you to comply with any of the provisions of this Agreement shall in no way affect its right to subsequently require you to comply with it. The waiver by CP Clothing of any of its rights shall not be deemed to be a waiver of this provision, except to the extent that such waiver has been made in a duly signed writing.

  • INVALIDITY

Each provision of this Agreement shall be a separate whole so that any decision of a court to the effect that any provision of this Agreement is void or unenforceable shall not affect the validity or enforceability of the other provisions of this Agreement.
